3.0 Subscription Period

This contract is valid indefinitely, commencing at the registration date.


4.0 Pricing and Payment Terms

4.1 Pricing

Basic Membership:

Pricing includes the harmonized sales tax (HST) stipulated by the province of Ontario, Canada. HST is currently 13%.

BBC Members Membership:

“First step on the podium”

$75.00/year

Pricing includes the harmonized sales tax (HST) stipulated by the province of Ontario, Canada. HST is currently 13%.

 

4.2 Payments

Payments must be paid the 1st of the month. No invoices will be provided.
If obligations cannot be met, service delivery ceases until the subscriber is able to pay the balance.

4.3 Payment Options

e-Transfers, PayPal, and credit card payments are accepted.
PayPal payments must be made to: aline@ayoubhr.com
e-Transfer payments must be made to: aline@ayoubhr.com

4.4 Pricing Adjustments

In the event that service tools or industry changes demand a significant change in service pricing Aline Ayoub HR Consulting may be required to increase services fees. Immaterial changes in industry service pricing will be absorbed by Aline Ayoub HR Consulting.

All pricing adjustments required will be made with a three (3) month notice, only with the exception of major changes in industry pricing.


5.0 Refund Policy

All products and services are non-refundable.


6.0 Intellectual Property and Liability

Copying, distributing, re-selling or taking any action in reliance of the contents of these products or services is strictly prohibited. No liability is accepted for any errors or omissions in the contents of these products or services which arise as a result of a purchase. If verification is required, please request a hard-copy version. No liability is accepted for any damage caused by any virus transmitted by these products or services. The recipient should check any attachments for the presence of viruses.


7.0 Changes to the subscription based membership

Aline Ayoub HR Consulting reserves the right to change or discontinue at any time any service or feature of the subscription based membership.


8.0 Dispute and Arbitration Process

8.1 Dispute Resolution

  • Any dispute relating to the interpretation, performance or breach of these terms and conditions will be negotiated by the parties in good faith commencing upon written notice being provided by one party to the other. Settlement discussions and materials will be confidential and inadmissible in any subsequent proceedings without both parties’ written consent.
  • If the dispute is not resolved by negotiation within thirty (30) days following the notice, the
  • parties will refer the dispute to non-binding mediation with sixty (60) days following the giving of the original notice. The
  • dispute shall be finally settled by a single arbitrator in accordance with the Arbitrations Act (Ontario), with all hearings to take place in Ontario, in the English language, unless otherwise agreed in writing by the signing parties.
  • This section does not affect the rights of a party to seek injunctive or other equitable relief when appropriate to enforce its rights hereunder. The parties will bear their own costs in connection with any mediation and shall bear the costs of any arbitration.

9.0 Termination and Force Majeure

9.1 Terms of Termination

Upon the termination of your subscription for any reason:

  1. Aline Ayoub HR Consulting will revoke your access to purchasing our products at a reduced rate.
  2. Aline Ayoub HR Consulting will not request you to return any of your purchases.
  3. Following termination of a paid membership, you retain your free membership and the resulting limited scope of use.

9.2 Termination without cause

  • You may cancel your free membership at any time.
  • To avoid billing, paid membership must be terminated in writing 24 hours before the expiry of the month. If you terminate a paid membership less than 24 hours before the expiry of the month of the paid membership, you will be charged for the
  • following month, and will continue to have access to a renewed paid membership as set out in the notice of renewal.
  • A notice of termination must clearly identify the subscriber and include the subscriber’s name and email. The notice must be sent to: sales@ayoubhr.com .
  • Following termination of a paid membership, you retain your free membership and the resulting limited scope of use.

9.3. Suspension

If you do not pay any amount due pursuant to these terms and conditions, Aline Ayoub HR Consulting reserves the right to suspend your access until such time as the outstanding payment is received or to terminate the subscription.

9.4 Consequences of termination

If you terminate a paid membership after the expiry of the Cooling-Off Period set out in section 10.0 of these Terms:

  • Your membership will be automatically converted to a free membership.
  • You will not be entitled to any refund for any amounts paid for the remaining month of the paid membership.

10.0 Cooling-Off Period

10.1 You may cancel the registration at any time within 3 days of registration (“Cooling-Off Period”), provided that you have not started using the services by, for example, buying a Webinar.

10.2 You agree that the services may start before the end of the Cooling-Off Period.

10.3 If you cancel the contract under the above paragraph and you have made any payment in advance for the services, Aline Ayoub HR Consulting will refund these amounts to you.

10.4 You can exercise the right to withdrawal by notifying us in writing to: sales@ayoubhr.com.


11.0 Interpretation

These terms and conditions contain the entire agreement of the signing parties relating to the delivery of products and services described under our plans. These terms and conditions shall ensure to the benefit of, and is binding upon, the Subscribers and Aline Ayoub HR Consulting, executors, administrators and legal personal representatives and upon the subscribers and its successors.

If any provision of these terms and conditions are determined to be invalid or unenforceable, in whole or in part, such invalidity or unenforceability shall apply only to such provision or part thereof and the remaining part of such provision and all other provisions herein shall continue in full force and effect.

These terms and conditions shall be governed by, and construed, in accordance with the laws of the province of Ontario and the laws of Canada applicable therein.


12.0 Terms and Conditions Renewal

Unless otherwise specified by the subscriber, the subscription will be renewed monthly to an indefinite period of time. Unless either party has requested changes to the terms agreed upon herein, future subscriptions would be based largely on these terms and agreement.
